By accessing or using our website, services, or digital forms, you agree to these Terms and Conditions. Please read them carefully before proceeding with any purchase or submission.

LadderUp provides business formation assistance, registration assistance, and related document preparation services designed to help individuals and business owners establish and manage their companies. LadderUp is not a law firm, accounting firm, or financial advisory service, and does not provide legal, tax, or financial advice.

2. Scope of Services

LadderUp assists clients by preparing and submitting required business filings, coordinating registered agent services, and providing document templates and educational tools. Our services are designed to simplify and streamline the business formation process.

LadderUp does not guarantee approval or processing speed for any filings, as final decisions are determined solely by state or federal agencies. While we strive for accuracy and timeliness, we do not control government systems, processing times, or third-party performance.

3. Fees and Payments

All LadderUp service fees are clearly displayed prior to purchase. State filing fees, registered agent fees, and any applicable government or application fees are billed separately. These additional costs are set by the respective agencies and are not controlled by LadderUp.

A separate invoice will be issued for all state fees, registered agent fees, and compliance-related charges once the applicable service or formation package is selected.

LadderUp’s service fees are considered earned upon initiation of work and are non-refundable once documentation preparation or filing processes have begun.

The client acknowledges that all payments must be completed in full before LadderUp will submit any filing or coordinate any registered agent service on the client’s behalf.

4. Accuracy of Information

Clients are responsible for ensuring that all information provided to LadderUp is accurate, complete, and current. LadderUp will not be held liable for any delays, rejections, or penalties resulting from incorrect or incomplete data supplied by the client.

If an error occurs due to client input, additional fees may apply for corrections, amendments, or re-filings.

5. Registered Agent Services

LadderUp may coordinate registered agent services through approved third-party providers. Clients who select this option authorize LadderUp to transmit necessary information for activation.

Registered agent services are billed annually and may vary by state. Renewal invoices will be sent prior to expiration. Clients are responsible for timely payment to maintain compliance and good standing with state agencies.

Failure to renew may result in administrative dissolution or loss of state registration. LadderUp assumes no liability for losses arising from the client’s failure to maintain an active registered agent.

6. Limitation of Liability

LadderUp shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to lost profits, missed deadlines, or rejected filings.

Our total liability under any circumstance shall not exceed the total amount paid by the client to LadderUp for the specific service giving rise to the claim.

Clients acknowledge that business formation and maintenance involve legal and regulatory complexities and agree that LadderUp’s role is limited to administrative support and coordination.

7. No Legal or Tax Advice

LadderUp provides business documentation and filing assistance for educational and operational purposes only. We do not offer legal, tax, or financial advice. Clients should consult a licensed attorney or CPA regarding legal structures, tax implications, or compliance strategies specific to their situation.

8. Intellectual Property

All content, templates, designs, and materials provided by LadderUp remain the exclusive property of LadderUp and may not be reproduced, resold, or distributed without written consent. messaging, and design a visual identity that reflects your brand values.

9. Governing Law

Our digital marketing and advertising services will help you reach your target audience and drive more traffic to your website. We create targeted campaigns across multiple channels, including social media, search engines, and display advertising, to maximize your ROI.

10. Acceptance of Terms

By checking the acknowledgment box or signing electronically during the purchase or submission process, the client affirms that they have read, understood, and agree to be bound by these Terms and Conditions.

This electronic acknowledgment carries the same legal weight as a physical signature.

11. Amendments

LadderUp reserves the right to update or modify these Terms and Conditions at any time. Updated versions will be posted on our website, and continued use of our services constitutes acceptance of the revised terms. coaching, and enablement tools to empower your team to succeed.
